# Terms and Conditions **Nafasi** Last updated: July 7, 2026 These Terms and Conditions ("Terms") govern the use of the Nafasi website and related services (collectively, the "Platform"), operated by Nafasi ("Nafasi," "we," "us," or "our"), a company operating in Kenya, registration number PVT-KX2R7H9M2026. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform. --- ## 1. About Nafasi Nafasi operates an online marketplace that connects individuals and businesses seeking to rent physical spaces ("Renters" or "Customers") with individuals and businesses who list spaces for rent ("Hosts" or "Space Owners"). Spaces may include, but are not limited to, event venues, offices, studios, storage units, workshops, and similar physical premises. **Nafasi is an intermediary platform only.** We do not own, manage, control, or operate any of the spaces listed on the Platform. Nafasi is not a party to any rental agreement formed between a Host and a Renter; we merely facilitate the connection and, where applicable, the booking and payment process. --- ## 2. Eligibility To use the Platform, you must: - Be at least 18 years old; - Have the legal capacity to enter into binding contracts; - Provide accurate, current, and complete information when making a booking or listing a space; - Comply with all applicable laws in your use of the Platform. Nafasi reserves the right to refuse service to any user at its discretion, particularly in cases of suspected fraud, misuse, or violation of these Terms. --- ## 3. No Account Required Nafasi does not require users to register an account or log in to browse listings, contact Hosts, or make bookings. Where personal details (such as name, phone number, or M-Pesa payment details) are collected as part of a booking, these are used solely for the purposes of facilitating that booking, as described in our Privacy Policy. Because no account or password is required, users are responsible for the accuracy of the contact and payment information they submit at the time of booking. Nafasi is not liable for miscommunication or booking errors resulting from incorrect information provided by the user. --- ## 4. Listing Spaces (For Hosts) 4.1. Hosts are solely responsible for: - The accuracy of listing information (photos, descriptions, pricing, availability, amenities, and rules); - Ensuring the space is legally permitted to be rented out (including compliance with local zoning, licensing, safety, and insurance requirements); - Ensuring the space is safe, clean, and matches its listed description; - Setting their own cancellation and refund policies, which must be clearly communicated and consistent with Nafasi's platform policies. 4.2. Nafasi reserves the right to remove, edit, or reject any listing that violates these Terms, is misleading, or is otherwise inappropriate, at its sole discretion. 4.3. Hosts grant Nafasi a non-exclusive, royalty-free license to use listing content (including photos and descriptions) for the purpose of operating, marketing, and promoting the Platform. --- ## 5. Booking Spaces (For Customers) 5.1. When you submit a booking request through the Platform, you are making an offer to rent the specified space for the specified period and price. 5.2. A booking is only confirmed once you receive confirmation through the Platform. Nafasi is not responsible for bookings made outside of the Platform. 5.3. Customers agree to: - Use the space only for the purpose and duration agreed upon; - Comply with the Host's house rules and any restrictions stated in the listing; - Leave the space in the condition in which it was found, subject to normal wear and tear; - Report any damage, safety issues, or disputes to Nafasi and the Host promptly. 5.4. Customers are responsible for any damage caused to a space during their rental period, beyond normal wear and tear. --- ## 6. Payments and Fees 6.1. All payments for bookings are made via **M-Pesa**, using the payment details (till number, paybill number, or phone number) provided on the Platform at the time of booking. Nafasi does not accept or process payments through any other channel unless explicitly stated. 6.2. Customers are responsible for ensuring that M-Pesa payments are made to the correct, officially listed Nafasi/Host payment details. Nafasi is not liable for funds sent to incorrect or fraudulent numbers not listed on the Platform. 6.3. Customers should keep their M-Pesa transaction confirmation (M-Pesa message/code) as proof of payment, as this may be required to resolve any booking disputes. 6.4. Nafasi may charge a service fee to Customers, Hosts, or both, which will be disclosed prior to booking confirmation. 6.5. Prices displayed are inclusive/exclusive of applicable taxes (including VAT, where applicable) as indicated at the time of booking. [ADJUST BASED ON YOUR TAX TREATMENT] 6.6. Payouts to Hosts, where Nafasi collects payment on their behalf, will be sent via M-Pesa within [X] business days after completion of a booking, subject to any applicable holds for damage claims or disputes. 6.7. Nafasi reserves the right to withhold or delay payment where fraud, policy violations, or disputes are suspected, pending investigation. --- ## 7. Cancellations and Refunds 7.1. Cancellation terms are set by individual Hosts and displayed on each listing at the time of booking. Customers should review these before confirming a booking. 7.2. Where no Host-specific policy applies, Nafasi's default cancellation policy is as follows: [DESCRIBE DEFAULT POLICY, e.g., "Full refund if cancelled 48 hours before the booking start time; no refund thereafter."] 7.3. Nafasi reserves the right to issue refunds or credits at its discretion in cases involving misrepresentation, safety issues, or failure of a Host to honor a confirmed booking. --- ## 8. Prohibited Conduct Users of the Platform agree not to: - List or book spaces for illegal activities; - Post false, misleading, or fraudulent information; - Circumvent the Platform to avoid fees (e.g., arranging payment or repeat bookings outside the Platform after being connected through it); - Harass, discriminate against, or abuse other users; - Use the Platform to transmit malware, spam, or unauthorized advertising; - Violate the intellectual property rights of Nafasi or third parties. Violation of this section may result in immediate refusal of service or removal from the Platform, without refund. --- ## 9. Disputes Between Users Nafasi is not responsible for resolving disputes between Hosts and Customers but may, at its discretion, offer mediation support. Any such assistance does not make Nafasi a party to the underlying rental agreement or liable for its outcome. --- ## 10. Limitation of Liability 10.1. The Platform is provided on an "as is" and "as available" basis. Nafasi makes no warranties, express or implied, regarding the accuracy, reliability, or availability of listings or the conduct of users. 10.2. To the maximum extent permitted by law, Nafasi shall not be liable for: - Any indirect, incidental, special, or consequential damages; - Loss of profits, data, or business opportunities; - Personal injury, property damage, or loss arising from use of a rented space; - Acts or omissions of Hosts or Customers. 10.3. Nafasi's total aggregate liability arising from or related to these Terms or use of the Platform shall not exceed the total service fees paid by you to Nafasi in the [3/6/12] months preceding the claim. --- ## 11. Indemnification You agree to indemnify and hold harmless Nafasi, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any law or third-party right. --- ## 12. Insurance Nafasi strongly recommends that Hosts maintain appropriate property and liability insurance for their spaces, and that Customers consider appropriate insurance coverage for their activities. Nafasi does not provide insurance coverage for bookings unless explicitly stated otherwise in a separate policy. --- ## 13. Intellectual Property All content on the Platform, including the Nafasi name, logo, design, and software, is the property of Nafasi or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or reproduce any part of the Platform without prior written consent. --- ## 14. Privacy Your use of the Platform is also governed by our [Privacy Policy], which explains how we collect, use, and protect your personal information. --- ## 15. Modifications to the Platform and Terms Nafasi reserves the right to modify, suspend, or discontinue any part of the Platform at any time. We may also update these Terms from time to time; continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. --- ## 16. Termination Nafasi may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, particularly in cases of suspected violation of these Terms. --- ## 17. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the **Republic of Kenya**. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya, or resolved through arbitration/mediation in Kenya where the parties agree to do so. --- ## 18.
